GREENFIELD CONSORTIUM · GOVERNANCE & COLLABORATION
Partner System
Contractual, tier-authorised and globally distributed. Project revenue sharing comes first, within unified governance and compliance boundaries.
Based on the supplied partner management proposal; admission and authority require approval and written agreements.
01 / FOUR TIERS
One governance framework. Four roles.
For US-listed-company capital advisory, cross-border M&A, compute-park ecosystems and the AI investment-banking platform ANMAOS. Managing partners retain brand, compliance, communications and final capital-project approval. Titles do not automatically confer equity.
Strategic core
Global Partner
Senior capital, investment-banking or compute-industry resource partners who lead cross-regional projects and participate in strategic votes.
At least 2 criteria · Review every 12 months
Eligibility
- Meet at least two of the following criteria, subject to managing-partner committee review.
- Established cross-border capital resources: US-listed issuers, family offices, sovereign funds or major compute investors.
- Independent leadership of major cross-border M&A, SPAC, red-chip structuring or overseas industrial-park projects.
- Capacity to provide a steady annual flow of high-quality projects or substantial industrial capital.
- Joint nomination by managing or existing global partners, with diligence, interview and partner-assembly disclosure.
- Contribute to strategy and new initiatives; lead projects, design structures, connect investors and participate in preliminary risk reviews.
- Maintain global reputation and consistent communications; nominate city partners and observers.
02 / PROGRESSION
Performance, progression and accountability.
01
Observer
Regional resource performance may support city-level application; exceptional cross-border resources may qualify for unanimous special approval to global level; inactivity or misleading promotion leads to exit.
02
City / Regional Partner
Quarterly tracking and annual review; strong performers may be nominated globally. Two nonproductive review periods or mandate breaches trigger withdrawal, observer downgrade or removal.
03
Global Partner
Annual review of delivery, risk record, resource quality and compliance; two consecutive failed years lead to observer status, major breaches to removal.
Exceptional route: observers with top-tier cross-border resources may enter the global tier through unanimous managing-partner approval. One vote can initiate removal review; committee-approved removal withdraws mandates and accounts, stops sharing and triggers internal disclosure. Confidentiality and non-compete obligations follow the agreement.
03 / MEETINGS
From regional coordination to executive decisions.
Monthly
Managing Partner Executive Committee
Risk, project approvals, appointments, policies, budgets and allocation pools; highest decision-making meeting.
Quarterly
Global Partner Private Meeting
Strategy, key-project reviews, sector assessment and nomination deliberations.
Annual
Annual Partner Assembly
Performance, policy disclosure, recognition and promotions; observers may attend without a vote.
Every two months
Regional Partner Meeting
Regional business updates, lead exchange and investment-attraction coordination.
04 / REVENUE WATERFALL
Pooled allocation. Payment after closing.
All shares require closing and receipt of funds; no advances, unspecified percentages or promised returns.
- 01
First reserve risk provisions and central-platform service fees for ANMAOS, legal, SEC compliance and diligence costs.
- 02
Allocate the managing-partner governance incentive ahead of project-pool distributions; percentages are set by approved agreements.
- 03
Allocate the remaining project incentive by agreement to the global lead, local city partner and successful observer referrer.
- 04
Account for co-investment separately under its own agreement; ordinarily open only to global partners, with special managing-partner approval required for city partners and observers.
05 / COMPLIANCE & BRAND
Shared boundaries across all tiers.
All external documents, contracts, roadshow and promotional materials require managing-partner risk review.
No securities promotion, unlicensed fundraising, principal/return guarantees or private fee collection under the Greenfield name.
Disclose titles and authority accurately by tier; no inflated identities, with cross-regional projects reported in advance.
Protect client records, SEC diligence, platform data and private transaction materials with tier-separated access.
Obtain local compliance counsel's prior opinion for cross-jurisdiction work; respect CFIUS, SEC and local regulatory boundaries.
Major breaches, leaks, reputational harm, poaching or unauthorised diversion of projects may trigger removal review.
This page is not a securities offer, fundraising invitation, employment commitment or licence statement. Platform tools and materials described in the proposal require actual authorisation; no public data room or automatic system access is represented.
